1. Acceptance of Terms

By accessing or using InnoCanvas ("the Service," "we," "us," or "our"), you confirm that you are at least 18 years old, have read and understood these Terms of Service ("Terms"), and agree to be legally bound by them.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you must discontinue use immediately.

2. Description of Service

InnoCanvas is an AI-powered platform for creating and managing business strategy frameworks, starting with the Business Model Canvas. The Service includes:

• • Interactive canvas editing and real-time customization
• • Export functionality (PDF, PNG, SVG, JSON, Markdown)
• • User account and profile management
• • Subscription-based premium features
• • Secure cloud storage of your canvases

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where required.

3. User Accounts

To access certain features you must create an account. You agree to:

• • Provide accurate, current, and complete information during registration
• • Maintain the security of your password and account
• • Accept responsibility for all activity under your account
• • Notify us immediately of any unauthorized access at legal@innocanvas.site
• • Not share account credentials or allow others to access your account

We reserve the right to terminate accounts that violate these Terms or that have been inactive for an extended period, following reasonable notice.

4. Subscription & Payment

InnoCanvas offers the following plans:

• • Paid subscriptions are billed monthly or annually in advance.
• • Subscriptions renew automatically unless cancelled before the renewal date.
• • You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
• • Prices are subject to change with 30 days' notice.
• • All fees are exclusive of applicable taxes unless stated otherwise.

5. User Content

You retain full ownership of all business canvases and content you create ("User Content"). By using the Service, you grant InnoCanvas a limited, non-exclusive, worldwide, royalty-free license solely to:

• • Store, process, and display your User Content to provide the Service
• • Use anonymized, aggregated data to improve the Service
• • Back up and secure your data

This license terminates when you delete your content or account. We will not sell your User Content or use it to train AI models without your explicit consent.

6. Acceptable Use

You agree not to use the Service to:

• • Violate any applicable law or regulation
• • Infringe on the intellectual property rights of others
• • Upload or transmit malicious code, viruses, or harmful content
• • Attempt to gain unauthorized access to the Service or other users' accounts
• • Reverse engineer, scrape, or otherwise extract proprietary data
• • Interfere with or disrupt the integrity or performance of the Service
• • Use the Service to generate spam, misleading content, or engage in fraud
• • Resell or sublicense the Service without written permission

7. Intellectual Property

The Service, including its design, code, AI models, brand, and all original content created by InnoCanvas, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without express written permission.

The InnoCanvas name and logo are trademarks of InnoCanvas. Nothing in these Terms grants you a right to use our trademarks.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

AI-generated content is provided for informational purposes only. InnoCanvas does not guarantee the accuracy, completeness, or suitability of AI-generated business models for any specific business decision.

9. Limitation of Liability

To the fullest extent permitted by law, InnoCanvas and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from:

• • Your use of or inability to use the Service
• • Any unauthorized access to or alteration of your data
• • Errors, inaccuracies, or omissions in the Service
• • Any third-party conduct on or through the Service

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid InnoCanvas in the 12 months preceding the claim or (b) $50 USD.

10. Termination

Either party may terminate this agreement at any time. You may close your account from the account settings page. We may suspend or terminate your access immediately and without notice if:

• • We are required to do so by law
• • Your use poses a security or legal risk to InnoCanvas or other users

Upon termination, your right to access the Service ceases. You may export your data before account deletion. We will retain data as required by law and as described in our Privacy Policy.

11. Governing Law

These Terms are governed by applicable law. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction, and you consent to personal jurisdiction in such courts. You waive any right to a jury trial or class action.

12. Changes to Terms

We may update these Terms at any time. Material changes will be notified via email or an in-app notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
